Terms and Conditions

These Terms and COnditions ("Terms") govern your access to and use of www.carefreespeech.com and any related site, page, or online service operated by Carefree Speech, LLC ("Carefree Speech," "we," "us," or "our") that links to these Terms (collectively, the "Site"), as well as the communication coaching and brain health and executive function coaching services we offer (the "Services"). By using the Site or engaging our Services, you agree to be bound by these Terms. We may revise these Terms from time to time, and the version posted on the Site at the time of your use governs. Your continued use of the Site after a revision is posted means you accept the revised Terms.

Notice regarding dispute resolution: Section 11 below contains a binding arbitration provision and a class action waiver that affect how disputes between you and Carefree Speech are resolved, including your right to bring claims in court. Please read that section carefully. You have the right to opt out of the arbitration provision as described in Section 11.

1. Acceptance of Terms

By accessing the Site, submitting a form on the Site, or booking or participating in our Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you should not use the Site or our Services. Your only remedy for dissatisfaction with the Site, the Services, or any content on the Site is to stop using them.

2. Who May Use the Site

Our Services are designed for adults. You must be at least 18 years old, and have the legal capacity to enter into a binding agreement, to use the Site or engage our Services. If you are acting on behalf of a company or other organization (for example, arranging coaching for an employee), you represent that you have the authority to bind that organization to these Terms.

3. Nature of Our Services

Carefree Speech offers communication coaching and brain health and executive function coaching. These Services are educational and skill-building in nature. Unless we have entered into a separate, express clinical services agreement with you, nothing provided through the Site or the Services constitutes medical, psychological, psychiatric, or other licensed healthcare diagnosis or treatment, and nothing on the Site should be treated as medical advice. We do not guarantee any particular outcome, improvement, or result from coaching. If you have a medical or mental health concern, please consult an appropriately licensed provider.

4. Virtual Sessions

Some or all of our Services may be delivered virtually, using video conferencing or other communication technology. As with any technology-dependent service, there is a possibility of interruptions, delays, or technical failures that are outside our control, and no communication over the internet can be guaranteed to be perfectly secure. We use reasonable measures to protect the confidentiality of your information during virtual sessions, but we cannot guarantee against every possible risk. We do not record coaching sessions.

5. Scheduling, Fees, and Cancellations

Consultations and coaching sessions may be scheduled through our third-party scheduling platform, PracticeQ. Fees, payment terms, and cancellation policies will be communicated to you at the time of booking or in a separate service agreement, and by scheduling a session you agree to those terms.

6. License to Use the Site; Restrictions on Content

All text, graphics, logos, and other materials made available on or through the Site ("Content") are owned by Carefree Speech, LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable license to view and print Content from the Site solely for your own personal, non-commercial use.

You may not reproduce, distribute, publish, transmit, modify, create derivative works from, sell, or otherwise exploit any Content from the Site without our prior written consent. You may not scrape, harvest, or use automated tools to collect data or Content from the Site. The Carefree Speech name and any related logos or branding are our trademarks and may not be used without our prior written permission. If you violate these Terms, we may revoke your license to use the Site and restrict or terminate your access.

7. Third-Party Links and Services

The Site may link to, or rely on, third-party websites and services, such as Google Analytics and PracticeQ, to operate certain features. We do not control and are not responsible for the content, security, or privacy practices of any third-party website or service. Your use of any third-party service is governed by that service's own terms and policies, and any reliance you place on third-party content is at your own risk.

8. Prohibited Conduct

In connection with your use of the Site or Services, you agree not to:

●      Provide false, inaccurate, or misleading information on any form, including our contact or intake forms

●      Misrepresent your identity or your affiliation with any person or organization

●      Use the Site for any unlawful, harassing, threatening, defamatory, or fraudulent purpose

●      Infringe the intellectual property, privacy, or other rights of any third party

●      Attempt to gain unauthorized access to the Site, our systems, or any related network or account

●      Introduce viruses, malware, or other harmful code, or otherwise interfere with the operation of the Site

●      Reverse engineer, decompile, or attempt to extract the source code of any part of the Site

●      Use any automated system to access the Site in a manner that sends more requests than a human could reasonably produce

Violation of this section may result in suspension or termination of your access to the Site or Services, and we reserve the right to pursue any available legal remedies.

9. Disclaimer of Warranties

THE SITE AND THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, AND WE DO NOT WARRANT OR GUARANTEE ANY PARTICULAR RESULT, IMPROVEMENT, OR OUTCOME FROM COACHING. SOME STATES DO NOT ALLOW THE EXCLUSION OF CERTAIN IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CAREFREE SPEECH, LLC AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE SIX MONTHS PRECEDING THE CLAIM. SOME STATES DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

You agree that your sole remedy for any dissatisfaction or claim arising out of or relating to the Site or the Services is to stop using them.

11. Dispute Resolution; Binding Arbitration; Class Action Waiver

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.

11.1 Informal Resolution First. Before filing any arbitration or lawsuit, you agree to first contact us at info@carefreespeech.com and give us a reasonable opportunity, at least 30 days, to resolve the dispute informally and in good faith.

11.2 Agreement to Arbitrate. If a dispute is not resolved informally within 30 days, you and Carefree Speech, LLC agree that any claim or dispute arising out of or relating to these Terms, the Site, or the Services will be resolved by binding individual arbitration administered under the rules of the American Arbitration Association (AAA), rather than in court, except that either party may bring an individual claim in small claims court if it qualifies. The arbitration will be conducted in Alabama, or another location we mutually agree upon, and will be governed by the Federal Arbitration Act.

11.3 Class Action Waiver. You and Carefree Speech, LLC agree that any arbitration or claim will be conducted only on an individual basis and not as a class, collective, or representative action, and each of us waives any right to participate in a class action. If a court or arbitrator determines that this class action waiver is unenforceable, then the agreement to arbitrate in this section will be void, and disputes will instead be resolved in the courts identified in Section 14.

11.4 Right to Opt Out. You may opt out of this arbitration provision by sending written notice to info@carefreespeech.com within 30 days of the date you first agree to these Terms. If you opt out, neither you nor we will be bound by the arbitration provision or class action waiver in this section, and disputes will instead be resolved in the courts identified in Section 14.

12. Indemnification

You agree to indemnify, defend, and hold harmless Carefree Speech, LLC and its owners, employees, contractors, and agents from and against any claims, losses, liabilities, damages, and expenses, including reasonable attorney's fees, arising out of your use of the Site or Services, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

We may suspend, limit, or terminate your access to the Site or our Services at any time, for any reason, including a violation of these Terms, without liability to you. Provisions of these Terms that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution, will survive.

14. Governing Law and Venue

These Terms are governed by the laws of the State of Alabama, without regard to its conflict of laws principles. Subject to Section 11 above, any dispute not subject to arbitration, or any dispute after a valid opt-out, will be brought exclusively in the state or federal courts located in Alabama, and you consent to the personal jurisdiction of those courts.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
